4D Terms of Service and Data Processing Terms

These Terms of Service and Data Processing Terms ("Terms") govern access to and use of 4D services, including the 4D web platform, tenant workspaces, and the 4D Shopify-Odoo Sync add-on for Odoo. These Terms are between Fourth Dimension, LLC ("Fourth Dimension", "4D", "we", "us", or "our") and the customer or entity using the service ("Customer", "you", or "your").

2. Service
4D provides business intelligence, reporting, data-warehouse, dashboard, integration, synchronization, and related data-processing services, delivered through tenant workspaces. 4D offers connectors to external business systems selected by the Customer, including Shopify and Odoo.
The 4D Shopify-Odoo Sync add-on is installed in Odoo and connects an Odoo database to a 4D tenant workspace. Shopify is connected during setup using credentials or access information supplied by an authorized merchant or administrator. Where these Terms refer to the add-on, they apply to that offering specifically; all other provisions apply to 4D services generally.
3. Order of precedence
If you have a separate written agreement with Fourth Dimension covering your use of 4D services, that agreement governs to the extent of any conflict with these Terms. Where a purchase is made through a marketplace (for example the Odoo Apps Store), the marketplace's terms govern that purchase to the extent the marketplace requires.
4. Eligibility and authorization
4D services are intended for business use by companies, merchants, and authorized administrators connecting business systems. They are not intended for personal, household, or consumer use.
You must be authorized to install any 4D add-on, connect the relevant systems and databases, provide access credentials, approve synchronization and reporting scopes, and transmit selected data to 4D.
You are responsible for maintaining the confidentiality and security of your 4D credentials and the credentials of your connected systems, and for all activity performed under your authorized accounts.
5. Trial, subscription, automatic renewal, cancellation, and refunds
New 4D customers may start a 14-day trial without providing a credit card. Continued access after the trial requires an active paid subscription.
Paid subscriptions renew automatically at the end of each billing period until cancelled. The price, billing period, and automatic renewal are disclosed at checkout before you subscribe. You can cancel at any time through the subscription management portal linked from your tenant workspace and, for the Odoo add-on, from the add-on's subscription screen; cancellation stops future renewals and takes effect at the end of the current billing period. For subscriptions with a term of one year or longer, we send a renewal reminder before the renewal date.
You may stop using the service by uninstalling the Odoo add-on, disconnecting the integration, or contacting support. Any fees, renewals, cancellations, or refunds are handled according to the applicable order, subscription, marketplace, or written commercial agreement.
Unless a specific marketplace, order, or written agreement states otherwise, paid subscription fees are non-refundable after the applicable service period has started, except where required by law.
If mandatory consumer protection law applies despite the business-use intent above, nothing in these Terms limits non-waivable cancellation, withdrawal, refund, or pre-contract information rights.
6. Customer responsibilities and system-of-record validation
4D is not an accounting, tax, legal, invoicing, financial compliance, or official business-record system. 4D helps move, map, process, and report selected data between connected systems.
You remain responsible for:
- selecting the correct synchronization, reporting, and configuration scope;
- verifying processed data in your connected systems of record;
- reviewing tax, VAT, invoice, fulfillment, shipping, inventory, accounting, and business-record outcomes;
- complying with laws, marketplace terms, platform terms, and customer notice or consent obligations;
- maintaining backups and records required for your business.
7. Acceptable use
You must not use 4D to process data unlawfully, access systems without authorization, transmit malicious code, interfere with service operation, bypass security controls, overload infrastructure, or process data that is not necessary for the approved configuration.
8. Suspension
We may suspend or restrict access to the service, in whole or in part, if payment for the service is overdue; if we reasonably believe the service is being used in violation of Section 7 or applicable law; if continued operation would create a security risk to the service or other customers; or if suspension is required by law. Where reasonably practicable, we will give advance notice, limit the suspension to the affected part of the service, and restore access promptly after the cause is resolved.
9. Hosting, support, and service availability
4D is hosted in the United States. The application server, database, backups, and logs are currently operated on one US-hosted server environment provided by Hostwinds. Azure DevOps / Microsoft is used for source-code management and deployment pipeline operations.
We aim to operate the service with reasonable care. Unless a separate written agreement states otherwise, we do not guarantee uninterrupted availability, specific uptime, or error-free operation. Support requests should be sent to developers@iszolea.net.
10. Data retention, deletion, and export
If you uninstall the Odoo add-on, your trial expires, your subscription ends, or your tenant is closed, 4D will schedule deletion of the related tenant data within 14 days, unless a longer period is required by law or needed for legitimate security, fraud-prevention, dispute, accounting, or backup purposes.
You may request earlier deletion by contacting developers@iszolea.net. We may require verification that the requester is authorized to act for the relevant tenant.
Operational backups are retained for up to 30 days. When immediate deletion from backups is not technically feasible, we will isolate the data from active processing and delete it according to the backup lifecycle.
On request, we will provide an export of your tenant data in a commonly used, machine-readable format and reasonable assistance with migration to another provider or an in-house system. We do not charge a fee for the export itself.
11. Data Processing Terms
This section applies where 4D processes personal data on behalf of the Customer as part of the service. For such processing, Customer is the controller and 4D is the processor, unless applicable law or a separate written agreement states otherwise.
11.1 Subject matter and duration
Subject matter: integration, synchronization, mapping, reporting, data-warehouse operations, logging, troubleshooting, and operation of the data flows and reporting configurations selected by the Customer through a 4D tenant workspace.
Duration: for the term of the Customer's use of the service, plus any retention period required for deletion, backup, security, legal, dispute, or accounting purposes.
11.2 Nature and purpose of processing
4D processes personal data to connect the Customer's selected systems and 4D; authenticate and authorize access; configure sync and reporting structures; process selected records; map source records to target records; report processing outcomes; troubleshoot errors; maintain logs; provide support; secure the service; and perform related operational activities.
11.3 Categories of personal data and data subjects
Depending on the Customer's configuration, personal data may include names, email addresses, phone numbers, billing and shipping addresses, customer identifiers, order details, fulfillment or shipping details, account and administrator contact details, support communications, logs, and related commercial data.
Data subjects may include Customer administrators and users, customers and contacts in the Customer's connected systems (for example Shopify customers or Odoo contacts), recipients of shipped orders, and other individuals included in selected processed records.
11.4 Customer instructions
4D will process Customer personal data only on documented instructions from the Customer, including the configuration selected in the service, these Terms, applicable order forms, support requests, and written instructions, unless required by law.
11.5 Confidentiality and security
4D will ensure that personnel authorized to process Customer personal data are subject to confidentiality obligations and will use reasonable technical and organizational measures designed to protect Customer personal data, including access controls, credential protection, operational logging, backup procedures, restricted team access, and internal deployment controls.
Unless a separate written agreement states otherwise, 4D does not provide independent security audit reports, external compliance certifications, or third-party assurance reports.
11.6 Subprocessors
Customer provides a general authorization for 4D to use subprocessors to provide the service. The current list of subprocessors that process Customer personal data is published in the 4D Privacy Policy at https://fddst.net/privacy.
4D will update that list at least 30 days before a new subprocessor begins processing Customer personal data. Customer may object to a new subprocessor on reasonable data-protection grounds within that period; if the parties cannot resolve the objection, Customer may terminate the affected service, and Section 10 (deletion and export) applies.
4D imposes data-protection obligations on subprocessors consistent with these Data Processing Terms and remains responsible for their performance as required by applicable law.
11.7 International transfers
4D is a US-based provider and hosts the service in the United States. The Customer authorizes transfers of Customer personal data to the United States for the purpose of receiving the service.
For transfers subject to Chapter V of the EU General Data Protection Regulation, the parties incorporate by reference the Standard Contractual Clauses approved by European Commission Implementing Decision (EU) 2021/914, Module Two (controller to processor), completed with the information set out in the SCC Annexes published alongside these Terms and available from developers@iszolea.net. For transfers subject to the UK GDPR, the UK International Data Transfer Addendum to the Standard Contractual Clauses applies. For transfers subject to Swiss law, the Standard Contractual Clauses apply as adapted under guidance of the Swiss Federal Data Protection and Information Commissioner.
In case of conflict between these Terms and the Standard Contractual Clauses, the Standard Contractual Clauses prevail.
11.8 Assistance, deletion, and audits
4D will provide reasonable assistance with data subject requests, security requests, deletion requests, and information reasonably necessary to demonstrate compliance with these Data Processing Terms, taking into account the nature of the service and information available to 4D.
After uninstall, trial expiration, termination, or written deletion request, 4D will delete or return Customer personal data according to Section 10, unless retention is required by law or needed for legitimate security, fraud-prevention, dispute, accounting, or backup purposes.
On written request, and no more than once in any 12-month period unless a supervisory authority requires otherwise or a personal data breach has occurred, 4D will allow for and contribute to audits, including inspections, conducted by the Customer or an auditor mandated by the Customer, subject to reasonable advance notice, confidentiality obligations, and the Customer bearing its own costs. Audit requests are first satisfied through documentation, questionnaires, and written responses where these are sufficient to demonstrate compliance.
11.9 Personal data breach notification
4D will notify the Customer without undue delay after becoming aware of a personal data breach affecting Customer personal data. The notification will describe, to the extent then known, the nature of the breach, the categories and approximate number of data subjects and records concerned, the likely consequences, the measures taken or proposed to address the breach, and a contact point for further information. 4D will supplement the notification as further information becomes available and will provide reasonable assistance with the Customer's obligations to notify supervisory authorities and data subjects.
A notification under this section is not an acknowledgement of fault or liability.
12. Export controls and sanctions
You represent that you and your organization are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive United States sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, so-called Donetsk, and so-called Luhansk regions of Ukraine); are not identified on any United States government restricted-party list, including the Office of Foreign Assets Control Specially Designated Nationals list; and will not use the service in violation of United States export control or sanctions laws.
The service is not available to persons located in the Russian Federation or Belarus where providing it would violate applicable United States sanctions, including restrictions on the supply of information-technology and cloud-based services. We may refuse, suspend, or terminate the service where we reasonably believe this section is or would be violated.
13. Intellectual property
4D, the add-on, documentation, software, service design, configurations, templates, and related materials are owned by Fourth Dimension or its licensors. You receive only the limited right to use the service according to these Terms.
14. Indemnification
You will defend and indemnify Fourth Dimension against third-party claims, and resulting damages and reasonable costs, to the extent arising from data that you did not have the right to process or transmit through the service; your violation of applicable law or of the terms of a connected platform (including Shopify or Odoo); or your use of the service in violation of these Terms. Fourth Dimension will promptly notify you of any such claim and reasonably cooperate at your expense.
15. Disclaimers and limitation of liability
The service is provided on an "as is" and "as available" basis, except where a separate written agreement states otherwise or applicable law requires otherwise. To the maximum extent permitted by law, Fourth Dimension disclaims implied warranties and will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of data, business interruption, or damages resulting from Customer configuration errors or third-party systems.
To the maximum extent permitted by law, Fourth Dimension's total aggregate liability arising out of or relating to the service, whether in contract, tort, or otherwise, will not exceed the amounts paid by the Customer to Fourth Dimension for the service in the twelve months preceding the event giving rise to the claim, or one hundred United States dollars if no fees were paid (for example during a free trial). These limitations do not apply where liability cannot be limited under applicable law.
16. Governing law and venue
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles, unless mandatory consumer or data-protection law requires otherwise.
The state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over disputes arising out of or relating to these Terms, and the parties consent to personal jurisdiction and venue in those courts, unless mandatory law provides otherwise.
17. Changes
We may update these Terms from time to time. The updated version will be posted at https://fddst.net/terms with a revised effective date. For material changes, we will give at least 30 days' advance notice by email to the tenant administrator or through the service where reasonably practicable. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
